Terms of Use

1. Acceptance of Terms

By creating an account or using Luminary AI services ("Service"), you agree to these Terms. If you are using the Service on behalf of an organization (e.g., an RIA or Law Firm), you represent that you have the authority to bind that organization to these terms.

2. Ownership & Intellectual Property

  • Your Input: You retain all ownership rights to the documents and data you upload ("Input").
  • AI Output: Subject to your compliance with these Terms, Luminary AI hereby assigns to you all its right, title, and interest in and to the summaries, diagrams, and reports generated by the Service ("Output").
  • Luminary IP: We retain ownership of the underlying software, algorithms, interface, and aggregated/anonymized usage data (which does not identify you or your clients).

3. Restrictions on Use

You represent that you have obtained all necessary consents from your clients to upload their sensitive financial and legal documents to our Service. You agree not to use the Service to violate any laws or third-party rights.

4. AI Disclaimer (Crucial for Wealth/Legal Tech)

  • No Professional Advice: Luminary AI is a technology tool, not a law firm, tax advisor, or financial planner. The Output is generated by artificial intelligence and may contain errors, hallucinations, or omissions.
  • Human Review Required: You acknowledge that it is your professional responsibility to independently verify all Output before relying on it for legal drafting, tax filing, or financial advice. We are not liable for decisions made based on the Output.

5. Indemnification

You agree to indemnify and hold harmless Luminary AI against any claims, damages, or costs (including legal fees) arising out of: (i) your use of the Output; (ii) your violation of these Terms; or (iii) any claim that your Input infringes the rights of a third party.

6. Limitation of Liability

To the maximum extent permitted by law:

  • No Consequential Damages: We are not liable for lost profits, lost data, or indirect/punitive damages.
  • Liability Cap: Our total liability for any claim arising out of these Terms is limited to the amount you paid us in the 12 months preceding the claim.

7. Dispute Resolution

  • Mandatory Arbitration: Any dispute arising under these Terms will be resolved by binding arbitration in Virginia, rather than in court.
  • Class Action Waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration against us.

8. Termination

We may suspend or terminate your access immediately if we reasonably suspect you are misusing the Service or violating these Terms.
