Terms of Service

By accessing and using Luminary's platform and services (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this Service.

Luminary Inc. ("Luminary", "we", "us", or "our") provides an AI agent development and marketplace platform. These Terms of Service ("Terms") govern your access to and use of our websites, applications, and services.

Permission is granted to temporarily access and use Luminary's Service for personal or commercial purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the Service materials;

• Use the materials for any commercial purpose without proper licensing;

• Attempt to decompile or reverse engineer any software contained on Luminary's platform;

• Remove any copyright or other proprietary notations from the materials;

• Transfer the materials to another person or "mirror" the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by Luminary at any time.

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Luminary provides tools for creating, deploying, and selling AI agent products through our platform. When you create or sell AI agents through our marketplace:

• You retain ownership of your AI agent products and associated intellectual property;

• You grant Luminary a license to host, display, and distribute your products through our platform;

• You represent that you have all necessary rights to the content and code in your AI agents;

• You are responsible for the functionality, accuracy, and compliance of your AI agents;

• You agree to comply with all applicable laws and regulations regarding AI and data processing.

Luminary reserves the right to review and remove any AI agent products that violate these Terms or applicable laws.

For paid subscriptions and marketplace transactions:

• Pricing is as displayed on our website and subject to change with notice;

• Payment is due immediately upon purchase unless otherwise specified;

• Refunds are subject to our refund policy as stated on our pricing page;

• You authorize us to charge your payment method for all fees incurred;

• For marketplace sales, Luminary collects a commission as specified in your seller agreement;

• All prices are in USD unless otherwise specified.

The Service and its original content (excluding User Content and AI agent products), features, and functionality are and will remain the exclusive property of Luminary Inc. and its licensors.

The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Luminary Inc.

User-generated content, including AI agents, remains the property of the users who created them, subject to the license granted to Luminary as described in these Terms.

You are responsible for the content you upload, create, or share through the Service. You agree not to:

• Post content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable;

• Impersonate any person or entity or falsely state or misrepresent your affiliation;

• Upload content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights;

• Upload viruses or any other malicious code;

• Interfere with or disrupt the Service or servers connected to the Service;

• Create AI agents designed to cause harm, spread misinformation, or violate laws;

• Use the Service for any illegal or unauthorized purpose.

Our Service may contain links to third-party websites or services that are not owned or controlled by Luminary Inc.

Luminary has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Luminary shall not be responsible or liable for any damage or loss caused by or in connection with use of any such content, goods or services available on or through any such websites or services.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LUMINARY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN.

TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, LUMINARY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

LUMINARY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

IN NO EVENT SHALL LUMINARY INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service;

• Any conduct or content of any third party on the Service;

• Any content obtained from the Service;

• Unauthorized access, use, or alteration of your transmissions or content.

OUR LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

You agree to defend, indemnify, and hold harmless Luminary Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of the Service;

• Your violation of any term of these Terms;

• Your violation of any third party right, including without limitation any copyright, property, or privacy right;

• Any claim that your User Content or AI agent products caused damage to a third party.

By using our Service, you acknowledge and agree that:

• We may collect and process data as described in our Privacy Policy;

• Aggregated, anonymized usage data may be used to improve our AI models and services;

• You retain ownership of your proprietary AI agent code and models;

• We implement industry-standard security measures to protect your data;

• You are responsible for complying with data protection laws applicable to your AI agents.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed and construed in accordance with the laws of the State of Virginia, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
